Terms of Use

These terms are an agreement between you and Studio Killswitch LLC (“we”, “us”) for your use of Oda: Task Planner and its services (“Oda”). By creating an account or using Oda, you agree to them. If you don’t agree, please don’t use Oda. Our Privacy Policy explains how we handle your data.

1. Who can use Oda

You must be at least 13 (or the minimum age in your country) to use Oda. If you use Oda for an organization, you confirm you’re allowed to accept these terms for it.

2. Your account

Sign in with Apple or Google. Keep your account secure, and tell us at hello@starplasma.co if you think someone else has used it. You can delete your account at any time in Settings → Account.

3. Subscriptions and free trial

  • Oda offers auto-renewing subscriptions, monthly or yearly, sold through Apple’s App Store. Prices are shown in the app before you buy and may vary by country.
  • Free trial: the yearly plan starts with a 14-day free trial. If you don’t cancel at least 24 hours before it ends, your subscription starts and you’re charged.
  • Renewal: your subscription renews automatically at the end of each period at the then-current price, unless you cancel at least 24 hours before the period ends. Your Apple ID is charged within 24 hours before renewal.
  • Cancelling: manage or cancel in Settings → your name → Subscriptions on your iPhone. Cancelling stops future renewals; you keep access until the end of the period you’ve paid for.
  • Refunds: Apple handles payment, so refund requests go to Apple at reportaproblem.apple.com, under Apple’s policies.
  • Price changes: if a price changes, Apple will let you know as required, and you can cancel before it applies.

4. Your content

The tasks, notes, lists and other things you put into Oda (“your content”) are yours. You give us permission to store, process and display your content only as needed to run Oda for you: planning your day, syncing it, and answering what you ask Oda. That includes sending it to the service providers named in our Privacy Policy. We don’t claim ownership of your content. You’re responsible for your content and for having the right to put it into Oda.

5. Calendars

When you connect a calendar, you allow Oda to read your events and to keep your plan in a separate “Oda” calendar. Disconnecting stops syncing; the “Oda” calendar stays until you remove it. Your use of Google or Apple calendars is also subject to their terms.

6. The AI

Ask Oda uses artificial intelligence to add tasks, answer questions about your plan, and make changes you ask for. It can be wrong. Check what it suggests before relying on it, especially for deadlines and anything important. You see its changes before they’re kept, and they can be undone. Don’t use it to submit content that is illegal, harmful, or that you don’t have the right to share.

7. Planning is a suggestion

Oda plans your time automatically, but it’s a tool to help you, not a guarantee. You’re responsible for your schedule, your commitments and your deadlines. Oda doesn’t provide medical, legal, financial or other professional advice.

8. Acceptable use

Don’t:

  • break the law or anyone’s rights using Oda;
  • try to access other people’s data, or probe, disrupt or overload our systems;
  • reverse engineer Oda, except where the law allows;
  • use bots or automated means to access Oda other than through features we provide;
  • resell or redistribute Oda.

We may suspend or close accounts that break these rules.

9. Our service

We work to keep Oda available and your data safe, but Oda is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We may change, add or remove features. If we stop offering Oda, we’ll give you reasonable notice and a copy of your data if you ask.

10. Limitation of liability

To the extent the law allows, we aren’t liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data, or missed commitments, arising from your use of Oda. Our total liability for any claim is limited to the greater of the amount you paid for Oda in the 12 months before the claim, or US$50. Some places don’t allow these limits, so they may not all apply to you.

11. Indemnity

If your content or your use of Oda breaks these terms or the law and someone makes a claim against us, you agree to cover our reasonable losses and costs from that claim, to the extent the law allows.

12. Ending

You can stop using Oda and delete your account at any time. We may suspend or end your access if you seriously or repeatedly break these terms, or if the law requires us to. Sections 4, 9, 10, 11 and 14 continue after these terms end.

13. Changes to these terms

We may update these terms. If a change is significant, we’ll tell you in the app at least 14 days before it takes effect. If you keep using Oda after that, the new terms apply.

14. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts in San Francisco County, California, unless the law where you live gives you the right to bring claims there. Before filing a claim, please email hello@starplasma.co so we can try to resolve it informally.

15. Apple

These terms are between you and us, not Apple. Apple isn’t responsible for Oda or its content, has no obligation to provide maintenance or support, and isn’t responsible for any claims relating to Oda, including product liability, legal compliance or intellectual property claims. If Oda fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent the law allows, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm that you’re not in a country under a US government embargo or on a US government list of prohibited or restricted parties.
